NOTICE OF BINDING LEGAL CONTRACT: BY ACCESSING, BROWSING, OR TRANSACTING ON THIS WEBSITE AND PURCHASING ANY PRODUCTS FROM RK GARDENING POINT (“THE ENTERPRISE”), YOU (“THE PURCHASER” OR “CUSTOMER”) AGREE THAT YOU ARE ENTERING INTO A STRICT, LEGALLY BINDING CONTRACT.
THIS AGREEMENT CONTAINS A STRICT NO-RETURN POLICY, ABSOLUTE WAIVER OF IMPLIED WARRANTIES, LIMITATION OF LIABILITY, AND AN EXCLUSIVE FORUM SELECTION CLAUSE REQUIRING ALL DISPUTES TO BE LITIGATED SOLELY IN SOLAN, HIMACHAL PRADESH. IF YOU DO NOT AGREE TO EVERY SINGLE CLAUSE HEREIN, YOU ARE EXPRESSLY BARRED FROM PURCHASING FROM US.
Section 1: Perishable Nature & Doctrine of As-Is Sale
Live Botanical Goods: The Customer expressly acknowledges that all items sold by the Enterprise are living, perishable biological specimens whose future viability, survival, and growth depend entirely upon environmental conditions, handling, atmospheric exposure, watering frequency, soil management, and human care completely outside the control of the Enterprise.
Disclaimer of All Warranties: To the maximum extent permitted by applicable law, the Enterprise expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, longevity, or continuous survival of the flora. All living goods are sold strictly “AS IS” and “WITH ALL FAULTS.”
Inherent Variations: Natural biological variances—such as minor leaf blemishes, natural shedding, slight asymmetry, color variations, or growth adjustments post-transit—are inherent to living organisms and do not constitute a defect, breach of contract, or a non-conforming product.
Section 2: Strict No-Return & Zero-Refund Mandate
Final Sale Policy: Due to severe biosecurity risks, plant pathology regulations, vulnerability to cross-contamination, and rapid biological decline during return transit, ALL SALES ARE FINAL. WE MAINTAIN A STRICT, UNCOMPROMISING NO-RETURN, NO-EXCHANGE, AND NO-REFUND POLICY.
Rejection of Unauthorized Shipments: Any physical return shipped back to the Enterprise without prior, formal written authorization from our legal compliance division will be rejected, refused at the dock, and permanently discarded. No credits, refunds, or compensations shall be issued under any circumstances for unauthorized returns.
Section 3: Conditional Transit Exception & Strict Limitations
As a narrow, strict exception to the Final Sale rule, limited replacement evaluations apply only to catastrophic structural transit failure (e.g., complete destruction of the main stem or absolute root system severance directly caused by gross courier negligence), subject to the following cumulative prerequisites:
6-Hour Absolute Statute of Limitations: Any claim must be formally logged via official digital channels within SIX (6) exact hours of the courier’s official delivery timestamp. Failure to report within this strict 6-hour window operates as a permanent, irrevocable, and unappealable forfeiture and waiver of any claim.
Mandatory Uninterrupted Unboxing Evidence: The burden of proof rests exclusively on the Customer. The Customer must provide a continuous, unedited, single-take, high-definition digital video commencing from the inspection of the sealed, unopened shipping carton through the unboxing and immediate display of the alleged damage, paired with high-resolution still photographs.
Exclusion of Post-Delivery Liability: The Enterprise assumes zero liability for any deterioration, disease, shock, wilting, or mortality occurring after delivery due to client neglect, climate shock, improper watering, incorrect light exposure, or unauthorized repotting.
Products may be dispatched and fulfilled from our primary nursery in Solan, Himachal Pradesh, or from our designated partner farms and fulfillment centers across various locations. Regardless of the dispatch origin, all sales, contracts, and legal obligations are bound exclusively to RK GARDENING POINT, headquartered in Solan, Himachal Pradesh.
Section 4: Fraud Prevention & Chargeback Penalty Clause
Prohibition of Malicious Chargebacks: Initiating an unverified, fraudulent, or malicious payment gateway dispute, bank chargeback, or credit card reversal for successfully delivered items constitutes a material breach of contract and civil fraud.
Cost Recovery: In the event of a fraudulent chargeback or dispute initiated by the Customer, the Enterprise reserves the absolute legal right to recover the full product cost, banking administrative penalties, collection fees, and all legal expenditures incurred to defend against such action.
Section 5: Absolute Limitation of Liability & Indemnification
Liability Cap: To the maximum extent permitted by law, the total cumulative liability of the Enterprise, its owners, partners, employees, and legal representatives arising from or related to any transaction shall be strictly capped at, and shall not exceed, the exact net purchase price paid by the Customer for the specific item in dispute.
Exclusion of Consequential Damages: The Enterprise shall bear no liability whatsoever for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, aesthetic value, or emotional distress.
Indemnity: The Customer agrees to defend, indemnify, and hold harmless the Enterprise from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with the Customer’s misuse, mishandling, or failure to properly maintain the purchased products.
Section 6: Exclusive Solan Jurisdiction & Governing Law
Governing Law: This Agreement, and any sales or interactions governed hereby, shall be construed, interpreted, and governed exclusively by the laws of India, without regard to conflict of law doctrines.
Exclusive Venue (Solan, Himachal Pradesh): ANY AND ALL SUITS, LITIGATION, CONSUMER FORUM COMPLAINTS, LEGAL NOTICES, ARBITRATION PROCEEDINGS, OR DISPUTES of any kind arising out of, relating to, or connected with this website, these terms, or products purchased from the Enterprise, SHALL BE FILED, TRIED, PROSECUTED, AND RESOLVED EXCLUSIVELY AND SOLELY IN THE COMPETENT COURTS LOCATED WITHIN SOLAN, HIMACHAL PRADESH, INDIA.
Waiver of Out-of-State Actions: The Customer hereby expressly, knowingly, and irrevocably waives any right, option, or legal privilege to initiate, transfer, or maintain any lawsuit, consumer dispute, or police/regulatory complaint in any other city, district, state, or territory outside of Solan, Himachal Pradesh. If a customer attempts to initiate proceedings in any other jurisdiction, they agree that such action is legally void ab initio, and they consent to its immediate dismissal with full costs and attorney fees awarded to the Enterprise.
